Agreement to Terms

By engaging Studio Moss ("we," "our," or "us") for services or using our website at studiomoss.design, you ("Client" or "you") agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Services

Studio Moss provides digital services including but not limited to:

  • Website design and development
  • Search engine optimization (SEO)
  • AI automation and integration
  • Email marketing setup and management
  • Brand identity and visual design

The specific scope, deliverables, and timeline for each project will be outlined in a separate project proposal or agreement provided before work begins.

Payment Terms

  • A deposit of 50% is required before work begins unless otherwise agreed upon in writing.
  • The remaining balance is due upon project completion, prior to final file delivery or site launch.
  • For ongoing services (SEO, maintenance, automation), invoices are issued monthly and due within 15 days of receipt.
  • Late payments may incur a fee of 1.5% per month on the outstanding balance.
  • We accept payment via Stripe, bank transfer, or other methods specified in your invoice.

Project Timelines

We provide estimated timelines at the start of each project. These estimates depend on timely feedback, content delivery, and approvals from the Client. Delays caused by late Client responses may extend the project timeline accordingly. We will communicate proactively if timelines need to shift.

Client Responsibilities

To ensure successful project delivery, the Client agrees to:

  • Provide all necessary content (text, images, logos, brand assets) in a timely manner
  • Grant access to relevant accounts (hosting, domain registrar, analytics, CMS) as needed
  • Designate a single point of contact for approvals and feedback
  • Review deliverables and provide feedback within agreed-upon timeframes
  • Ensure all content provided is owned by or licensed to the Client

Intellectual Property

Client Ownership. Upon full payment, the Client owns all final deliverables created specifically for the project, including custom designs, code, and content produced by Studio Moss.

Studio Moss Rights. We retain the right to use completed work in our portfolio, case studies, and marketing materials unless otherwise agreed in writing. We also retain ownership of any pre-existing tools, frameworks, templates, or code libraries used in the creation of deliverables.

Third-Party Assets. Any third-party assets (stock photos, fonts, plugins) included in the project are subject to their respective licenses. We will inform you of any licensing requirements.

Revisions

Project proposals will specify the number of revision rounds included. Additional revisions beyond the agreed scope may be billed at our standard hourly rate, which will be communicated in advance.

Limitation of Liability

Studio Moss provides services on an "as-is" basis. To the fullest extent permitted by law:

  • We are not liable for any indirect, incidental, special, or consequential damages arising from the use of our services or deliverables.
  • Our total liability for any claim shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.
  • We do not guarantee specific results from SEO, marketing, or automation services, as outcomes depend on many factors outside our control.

Termination

Either party may terminate a project with written notice. In the event of termination:

  • The Client is responsible for payment of all work completed up to the date of termination.
  • Any deposit paid is non-refundable if work has commenced.
  • Studio Moss will deliver all completed work product upon receipt of final payment.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This obligation survives the termination of the business relationship.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts of Virginia.

Changes to These Terms

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes constitutes acceptance of the revised terms.
